These Terms and Conditions (“Terms”) govern your use of services provided by Black Dog Marketing Strategies LLC, a Connecticut Limited Liability Company (“Company,” “we,” “us,” or “our”). By purchasing or using our services, you (“Client” or “you”) agree to be bound by these Terms.
- Acceptance Of Terms
By scheduling, purchasing, or participating in any coaching session, video creation service, training program, or other service offered by Black Dog Marketing Strategies, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
- Description Of Services
2.1 Coaching Services
Coaching is a collaborative partnership (defined as a professional alliance, not a legal business partnership) between the Coach and the Client designed to facilitate the creation and development of professional or business goals and to develop and execute a strategy or plan for achieving those goals.
2.2 Services Offered
Our services include, but are not limited to:
- One-on-one private social media strategy coaching
- Done-with-you social video creation
- Premium done-for-you video editing
- Video training for teams
- LinkedIn profile development
- Other content marketing and video marketing services as described at the time of purchase
- Coaching Sessions
3.1 Session Format
The Coach and Client will meet for 60-minute sessions via Zoom (or other agreed-upon video conferencing platform) for the number of sessions the Client has purchased. The Client is responsible for scheduling these meetings through the provided booking system.
3.2 Technical Requirements
Client is responsible for maintaining a functional internet connection and the necessary software (including Zoom, as applicable) to participate in sessions.
3.2 Between-Session Support
Coach will provide reasonable access through brief email communications and LinkedIn messaging between scheduled coaching sessions. This support is limited to clarifying questions and brief guidance and does not constitute additional coaching sessions.
- Fees And Payment
4.1 Payment Terms
All coaching and service fees must be paid in advance of service delivery. Payment constitutes acceptance of these Terms and Conditions.
4.2 Service Expiration
- Coaching sessions must be scheduled and completed within one (1) year of the purchase date.
- Other services, including but not limited to LinkedIn profile development and video editing packages, are considered complete twelve (12) months after the date of purchase, regardless of usage.
4.3 Currency
All fees are quoted and payable in United States Dollars (USD).
- Refund Policy
All sales are final. Black Dog Marketing Strategies does not offer money-back guarantees on services. The Client may terminate the coaching agreement at any time; however, any remaining fees are non-refundable. As stated above, all services are considered complete twelve (12) months after purchase, and no refunds will be issued for unused sessions or services.
- Cancellation And Rescheduling Policy
6.1 Client Cancellations
The Client may not cancel or reschedule individual coaching sessions with less than twenty-four (24) hours advance notice. Coach reserves the right to treat any meeting that Client misses or attempts to cancel with less than 24 hours’ notice as a completed session, deducting it from the Client’s allotted coaching sessions.
6.2 Coach Cancellations
In the event the Coach must cancel a scheduled session, the Client will be offered the opportunity to reschedule at no penalty, and the session will not count against the Client’s purchased sessions.
- Client Responsibilities And Release From Guarantees
7.1 Personal Responsibility
By participating in coaching or other services, you agree to accept full personal responsibility for your actions and the results you achieve. Success depends on numerous factors including, but not limited to, your individual effort, existing business circumstances, market conditions, and implementation of strategies.
7.2 No Guarantees
The Coach has made no guarantees, warranties, or representations about the results of taking any actions, whether recommended during coaching sessions or otherwise. You recognize and agree that your success or failure will be the result of your own efforts, your unique situation, and countless other conditions over which the Coach has no control.
7.3 Not Professional Advice
Coaching services do not constitute legal, financial, accounting, tax, or other professional advice. You should consult with appropriate licensed professionals before making any business, legal, or financial decisions.
- Confidentiality
8.1 Coach’s Commitment
The Coach will treat the coaching relationship and all information shared by the Client during coaching sessions as confidential. The Coach will not disclose the existence of the relationship or share the Client’s name as a reference without the Client’s prior written consent.
8.2 Limitations on Confidentiality
The Coach-Client relationship is not considered a legally confidential relationship (such as attorney-client or doctor-patient privilege), and communications are not subject to the protection of any legally recognized privilege. The Coach may be required to disclose information if compelled by law or court order.
8.3 Exceptions
Confidentiality does not apply to information that: (a) is or becomes publicly available through no breach of this agreement; (b) was known to the Coach prior to disclosure by Client; or (c) must be disclosed to comply with applicable laws or regulations.
- Intellectual Property
9.1 Company Materials
All materials, content, templates, frameworks, training materials, videos, and other resources provided by Black Dog Marketing Strategies remain the intellectual property of the Company. Client receives a limited, non-exclusive, non-transferable license to use such materials solely for their own business purposes. All coaching materials, strategies, and templates provided by the Company are for the Client’s individual use only and remain the property of Black Dog Marketing Strategies LLC. No materials may be reproduced, distributed, shared, or sold without the Company’s prior written permission.
9.2 Client Work Product
Any videos, content, or materials created specifically for the Client through done-for-you or done-with-you services become the property of the Client upon full payment. However, the Company retains the right to use general methodologies, processes, and techniques developed during the engagement.
9.3 Portfolio and Testimonials
Unless otherwise agreed in writing, the Company reserves the right to include Client’s name, business name, and work product (videos, content examples) in its portfolio and marketing materials. Client may withdraw this permission at any time by written notice.
- Indemnification
Client agrees to indemnify, defend, and hold harmless Black Dog Marketing Strategies LLC, its owner, employees, contractors, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorney’s fees) arising out of or related to: (a) Client’s use or misuse of the services; (b) Client’s breach of these Terms; or (c) Client’s violation of any law or the rights of any third party.
- Governing Law And Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions.
11.2 Jurisdiction
Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Fairfield County, Connecticut, and both parties consent to the jurisdiction of such courts.
11.3 Dispute Resolution
Prior to initiating any legal action, the parties agree to attempt to resolve any dispute through good faith negotiation. If negotiation fails, the parties may agree to mediation before pursuing litigation.
- Force Majeure
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet or telecommunications failures, or pandemics.
- Modifications To Terms
Black Dog Marketing Strategies reserves the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website with an updated “Last Updated” date. Continued use of services after modifications constitutes acceptance of the revised Terms. Clients with active service agreements at the time of modification will be notified via email.
- Entire Agreement
These Terms and Conditions, together with any service-specific agreements or proposals, constitute the entire agreement between Client and Black Dog Marketing Strategies LLC regarding the services and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.
- Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. The Company’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- Acknowledgment
By purchasing or using our services, you acknowledge that you have read these Terms and Conditions, understand them, and agree to be bound by them.
- Limitation Of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COACH OR BLACK DOG MARKETING STRATEGIES LLC BE LIABLE TO CLIENT FOR ANY LOSS OF USE, SALES, PROFITS, SALES OPPORTUNITY, GOODWILL, OR LOST REVENUE, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES OF ANY KIND OR NATURE WHATSOEVER, HOWEVER CAUSED AND WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CLIENT’S SOLE AND EXCLUSIVE REMEDY FOR ANY DISPUTE WITH THE COMPANY SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY PAID BY CLIENT TO THE COMPANY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.
